Terms of Service & EULA
These Terms of Service and End User License Agreement ("Terms") form a binding agreement between you and Palanto, operated by Alvaro Soto ("we," "us," "our"), governing your use of the Palanto mobile application ("App"). By downloading, accessing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.
No Tolerance for Objectionable Content or Abusive Behavior
There is zero tolerance for objectionable content or abusive users on Palanto. By using the App you agree not to post content that is illegal, harassing, hateful, violent, sexually explicit, exploitative of minors, defamatory, or that violates the privacy or rights of others. You may flag objectionable content and block abusive users at any time within the App (see Section 6). We review reports and will remove violating content and the users who post it, typically within 24 hours.
1. Eligibility
- You must be at least 13 years old to use the App.
- If you are a minor in your jurisdiction, you may use the App only with the involvement and consent of a parent or legal guardian.
- By using the App you represent that you meet these requirements and that the information you provide is accurate.
2. Your Account
- You are responsible for your account credentials and for all activity under your account.
- You agree to provide accurate information and to keep it current.
- Notify us immediately of any unauthorized use of your account.
- You may delete your account and associated content at any time from within the App.
3. How Palanto Works
Palanto lets you record and post photos and videos from live events, grouped by event. To view and download content posted by other attendees of an event, you must first contribute your own content to that same event. You understand and agree that:
- Content you post to an event becomes visible to, and downloadable by, other users who contributed to that same event, in the form in which it was recorded.
- Once another user has downloaded your content to their device, that copy is outside our control and cannot be retrieved or deleted by us.
- You should not post anything you are not comfortable having other attendees view, download, and keep.
4. Your Content & License
You own your content
You retain ownership of the photos and videos you create and post ("Your Content").
License you grant
To operate the App, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute Your Content for the purpose of providing the App's features — including showing it in the relevant event feed and making it available for download by other contributors to that event. You also grant other users a limited license to download and retain Your Content as enabled by the App. This license ends when you delete Your Content or your account, except for copies already downloaded by others and as required for backups or legal compliance.
Your responsibilities for what you capture
You are solely responsible for the content you capture and upload. You represent and warrant that:
- You have the right to record and share it, including any consents required by law where you recorded it.
- It does not violate the privacy, publicity, likeness, or intellectual-property rights of any person.
- It does not depict, sexualize, target, or exploit minors.
- It complies with all applicable laws and these Terms.
If you appear in content uploaded by another user and want it removed, contact us at the email below and we will act on valid requests.
5. Acceptable Use
You agree not to:
- Post objectionable content as described in the Zero Tolerance section above.
- Record or share people in private settings, or where recording is prohibited or where you lack required consent.
- Harass, threaten, impersonate, stalk, or harm other users.
- Upload content you do not have the rights to, or that infringes copyrights, trademarks, or other rights.
- Attempt to circumvent the App's features, security, or the contribution requirement (e.g., scraping or bulk-downloading others' content through unauthorized means).
- Use the App for any unlawful purpose or to violate any applicable law or venue rules.
- Upload malware or interfere with the App's operation.
6. Reporting, Blocking & Enforcement
- Report: you can report any photo, video, or user from within the App.
- Block: you can block abusive users so you no longer see their content or interactions.
- Our action: we review reports and remove violating content and offending accounts, typically within 24 hours of becoming aware. Content reported by multiple users is automatically hidden pending review.
- Our discretion: we may remove content, limit features, or suspend or terminate accounts that violate these Terms, with or without notice.
7. Intellectual Property
The App itself — including its software, design, branding, and the "Palanto" name and logo — is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. All rights not expressly granted are reserved.
8. Third-Party Services
The App relies on third-party services, including SeatGeek for event data and Supabase for authentication, database, and storage. Your use of features powered by these services may be subject to their own terms. We are not responsible for third-party services.
9. Termination
You may stop using the App and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the App. Sections that by their nature should survive termination (including content licenses for already-downloaded copies, disclaimers, and limitations of liability) will survive.
10. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, error-free, or secure, and we are not responsible for content posted by users.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE APP OR FROM CONTENT POSTED BY USERS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR USD $50.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your use of the App, or your violation of these Terms or the rights of others.
13. Apple App Store — Additional Terms
The following applies because you obtained the App through the Apple App Store:
- These Terms are between you and us only, not with Apple. Apple is not responsible for the App or its content.
- Apple has no obligation to provide maintenance or support for the App.
- To the extent permitted by law, any product warranty obligation is ours alone; if the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any), and Apple has no other warranty obligation.
- We (not Apple) are responsible for addressing any claims relating to the App, including product-liability, legal/regulatory, and intellectual-property claims.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting," and are not on any U.S. Government restricted-parties list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
14. Changes to These Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, notify you in the App. Continued use after changes means you accept the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in Texas, unless otherwise required by applicable law.
